Welcome to Complex. These Terms and Conditions ("Terms") govern your access to and use of the website located at https://complexonline.net (the "Site") and any purchase of products from Complex ("Complex," "we," "us," or "our"), operated by Complex SGV LLC with a principal place of business at 704 W Las Tunas Dr, Unit #6, San Gabriel, CA 91776.

By accessing or using the Site, creating an account, or placing an order, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site or purchase any products from us.

Please read these Terms carefully. They include an age requirement (21+), a California Proposition 65 warning, important limitations on our liability, and a binding arbitration provision and class action waiver (Section 19) that affect your legal rights.

1. Eligibility and Age Requirement

Complex sells alcoholic beverages, tobacco and cigar products, and specialty food items. By using the Site or placing an order, you represent and warrant that:

  • You are at least 21 years of age;
  • You are purchasing products for personal use and not for resale;
  • You will not provide any alcohol or tobacco product to any person under 21 years of age; and
  • All information you provide to us is accurate, current, and complete.

It is illegal for any person under the age of 21 to purchase, attempt to purchase, or possess alcohol or tobacco products. We reserve the right to refuse or cancel any order, and to verify the age and identity of any customer, at our sole discretion.

2. Age Verification

Because we sell age-restricted products, age verification is a condition of every sale.

  • At checkout, you must confirm that you are 21 years of age or older. We may use third-party age- and identity-verification services to confirm your eligibility.
  • At delivery, all shipments containing alcohol or tobacco products require an adult signature (age 21+) upon receipt. The carrier will request valid, government-issued photo identification confirming the recipient is at least 21. The carrier may refuse delivery if no such person is available or if valid identification cannot be provided.
  • If a shipment is refused or undeliverable due to a failed age check at delivery, you may be responsible for return shipping costs and applicable restocking deductions as described in our Refund Policy.

Providing false information regarding your age or identity is a violation of these Terms and may constitute a violation of law.

3. Licensing and Regulated Products

Complex SGV LLC holds the applicable licenses required to sell alcoholic beverages and tobacco products in the State of California:

  • Alcohol License No.: 675-594
  • Tobacco License No.: 2306-77856

All sales of alcohol and tobacco are subject to federal, state, and local laws and regulations, which may change from time to time. We sell and ship regulated products only where it is lawful to do so.

We reserve the right to limit the sale of products, including the quantity of any product, to any person, household, or geographic area, and to refuse or cancel any order at our discretion in order to comply with applicable law.

4. California Proposition 65 Warning

WARNING: Our products can expose you to chemicals that are known to the State of California to cause cancer and birth defects or other reproductive harm. This warning is provided pursuant to California's Safe Drinking Water and Toxic Enforcement Act of 1986 (Proposition 65).

In particular:

  • Alcoholic beverages. Drinking distilled spirits, beer, coolers, wine, and other alcoholic beverages may increase cancer risk, and, during pregnancy, can cause birth defects. For more information go to www.P65Warnings.ca.gov/alcohol.
  • Tobacco and cigar products. This product contains and can expose you to chemicals, including those in tobacco smoke, that are known to the State of California to cause cancer and reproductive harm. For more information go to www.P65Warnings.ca.gov.
  • Specialty foods. Certain food products can expose you to chemicals, including acrylamide and others, known to the State of California to cause cancer or reproductive harm. For more information go to www.P65Warnings.ca.gov/food.

By placing an order, you acknowledge that you have read and understood this warning.

5. Geographic Availability

We currently ship within the United States only. We do not ship internationally. In addition, the sale and shipment of alcohol and tobacco are restricted or prohibited in certain U.S. states, counties, and localities. We may be unable to fulfill orders to certain destinations, and we reserve the right to cancel any order that cannot be lawfully shipped. Where an order is canceled for this reason, you will be refunded for the canceled items in accordance with our Refund Policy.

6. Account Registration

You may need to create an account to place certain orders. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate any account at our discretion, including where we suspect fraudulent, unlawful, or underage activity.

7. Orders and Acceptance

All orders placed through the Site are offers to purchase and are subject to our acceptance. We are not obligated to accept any order and may refuse or cancel an order at any time for reasons including, but not limited to: product unavailability, errors in pricing or product information, suspected fraud, failed age or identity verification, or legal restrictions applicable to the destination.

A confirmation email acknowledging receipt of your order does not constitute our acceptance of the order. A binding contract is formed only when we ship the products to you.

8. Pricing and Payment

All prices are listed in U.S. dollars and are exclusive of applicable taxes unless otherwise stated. Applicable sales, excise, and other taxes will be calculated and added at checkout where required by law.

We strive to ensure that all pricing and product information is accurate. However, errors may occur. If we discover an error in the price of products you have ordered, we will inform you and give you the option of confirming your order at the correct price or canceling it. If we are unable to contact you, we may treat the order as canceled.

Payment must be received in full before an order is shipped. By submitting payment information, you represent that you are authorized to use the designated payment method.

9. Shipping and Delivery

We will make reasonable efforts to ship products within the timeframes described on the Site, but delivery dates are estimates and not guaranteed. Title and risk of loss pass to you upon delivery to the carrier, except as otherwise required by law for regulated products.

As described in Section 2, all shipments containing alcohol or tobacco require an adult signature (21+) at delivery. We are not responsible for delays, refusals, or non-delivery resulting from a failed age check, an incorrect shipping address provided by you, or the unavailability of an eligible adult to receive the shipment.

10. Returns and Refunds

Our returns policy reflects the nature of the products we sell.

Perishable and consumable items are non-returnable and non-refundable. This includes, without limitation, specialty foods, opened products, and tobacco and cigar products. All sales of these items are final.

Wine may be returned within 30 days of delivery, subject to all of the following conditions:

  1. The bottle must be unopened and the factory seal and all factory seals must be fully intact and undamaged;
  2. You must email a photograph of the item to complexsgv@gmail.com with the subject line: "Order# Return Item Photo" (replacing "Order#" with your actual order number); and
  3. Upon review and approval of your return request, we will email you a prepaid return shipping label.

Returned wine that arrives opened, with a broken or tampered seal, or otherwise not in its original factory-sealed condition will not be eligible for a refund and may be returned to you at your expense or disposed of in accordance with applicable law.

We reserve the right to inspect all returned items and to refuse any return that does not meet the conditions above. Refunds, where approved, will be issued to the original payment method within a reasonable period after we receive and inspect the returned item. Full return details are set out in our Refund Policy, which is incorporated into these Terms by reference.

11. Cancellations

You may request to cancel an order before it has shipped by contacting us promptly at the contact details in Section 25. Once an order has shipped, it is subject to the returns conditions in Section 10. We reserve the right to cancel any order in accordance with these Terms.

12. Product Descriptions and Availability

We attempt to describe and display our products as accurately as possible. However, we do not warrant that product descriptions, images, vintages, label designs, or other content are accurate, complete, reliable, current, or error-free. Product images are for illustrative purposes only, and actual products (including labels and vintages) may vary. All products are subject to availability, and we may discontinue or modify products at any time without notice.

13. Acceptable Use

You agree not to use the Site:

  • In any way that violates any applicable federal, state, local, or international law or regulation;
  • To purchase age-restricted products on behalf of, or for delivery to, any person under 21 years of age;
  • To resell or commercially exploit any products purchased from us without our authorization;
  • To impersonate or attempt to impersonate Complex, an employee, another user, or any other person or entity;
  • To introduce viruses, malware, or other malicious code, or to attempt to gain unauthorized access to the Site, its servers, or any related systems;
  • To scrape, data-mine, or use automated systems to access the Site in a manner that sends more requests than a human could reasonably produce; or
  • To engage in any conduct that restricts or inhibits anyone's use of the Site or that may harm Complex or its users.

14. Intellectual Property

The Site and all of its content, features, and functionality — including text, graphics, logos, images, product descriptions, and the "Complex" name and branding — are owned by Complex SGV LLC or its licensors and are protected by United States and international intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any part of the Site without our prior written permission.

15. User Content

If you submit reviews, comments, or other content to the Site ("User Content"), you grant Complex a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, and display that content in connection with our business. You represent that you own or control the rights to any User Content you submit and that it does not violate these Terms or any third-party rights. We reserve the right to remove any User Content at our discretion.

16. Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by Complex. We are not responsible for the content, privacy policies, or practices of any third-party websites, and we encourage you to review the terms and policies of any third-party site you visit.

17. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, COMPLEX DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under applicable law.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COMPLEX, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR ANY PRODUCTS PURCHASED FROM US. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR PURCHASE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

19. Dispute Resolution and Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

a. Agreement to Arbitrate. You and Complex agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any products purchased from us shall be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies.

b. Arbitration Procedure. The arbitration will be administered by a recognized arbitration provider under its applicable consumer arbitration rules. The arbitration will be conducted in or near Los Angeles County, California, unless you and Complex agree otherwise. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

c. Class Action Waiver. YOU AND COMPLEX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.

d. Opt-Out. You may opt out of this arbitration agreement by sending written notice to complexsgv@gmail.com within 30 days of your first purchase or acceptance of these Terms, stating your name, order number, and intent to opt out. If you opt out, neither you nor Complex will be bound by the arbitration and class action waiver provisions for disputes between us.

e. Survival. This Section 19 survives termination of these Terms and your relationship with Complex.

20. Indemnification

You agree to indemnify, defend, and hold harmless Complex and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your violation of these Terms, your misuse of the Site, your provision of false age or identity information, or your violation of any applicable law or the rights of any third party.

21. Governing Law

These Terms and any dispute arising out of or relating to them or the Site shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Subject to the arbitration provision in Section 19, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

22. Changes to These Terms

We may revise these Terms at any time by posting an updated version on the Site. Changes are effective when posted. The "Last Updated" date at the top of these Terms indicates when they were last revised. Your continued use of the Site or placement of an order after changes are posted constitutes your acceptance of the revised Terms.

23. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.

24. Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, Refund Policy, and any other policies posted on the Site, constitute the entire agreement between you and Complex regarding your use of the Site and supersede any prior agreements.
